This bill: - Requires public companies in Washington to have at least 25% of their board of directors be individuals who self-identify as women, or the company must provide a board diversity discussion and analysis to shareholders detailing their approach to board diversity. - Allows the articles of incorporation to include provisions related to the purpose, management, and governance of the corporation, including provisions that limit or eliminate a director's duty to offer the corporation certain business opportunities. - Makes various other technical amendments to the state's business corporation law, including allowing certain corporate actions and plan terms to be made dependent on facts objectively ascertainable outside the filed documents.
