This bill modifies provisions relating to venue in guardianship and conservatorship cases and pooled estate accounts by public administrators. It adds a new section to the Missouri Revised Statutes that establishes presumptions of enforceability for certain covenants between a business entity and its owners, such as non-solicitation agreements for employees or customers, and provisions requiring notice of intent to terminate or sell an ownership interest. The bill also allows courts to modify overbroad covenants to make them reasonably necessary to protect the business entity's interests. The bill does not affect the validity or enforceability of other types of covenants, such as non-compete agreements, except as expressly provided.
