This joint resolution proposes an amendment to Article 12, Section 13 of the New Mexico Constitution regarding the composition and governance of boards of regents for state educational institutions. The amendment specifies that most institutions (except the University of New Mexico) will have five-member boards, with four members being qualified state electors and one being a student, and no more than three members from the same political party. For the University of New Mexico, the board will have seven members, with six qualified electors and one student member. The governor will nominate board members with senate consent, with non-student members serving six-year staggered terms and student members serving two-year terms. The resolution also introduces a significant new provision defining the fiduciary duties of board members, including duties of undivided loyalty, due care, good faith, and compliance with state laws and institutional policies. Additionally, the amendment modifies removal procedures for board members, allowing removal for incompetence, neglect, breaches of fiduciary duties, or malfeasance through actions by the attorney general or a majority of other board members. The proposed amendment will be submitted to voters for approval at the next general election or a special election.
