This bill provides a legal framework for transferring the ownership and assets of the Woodlawn Water Supply Corporation (the Corporation) to the Angelina and Neches River Authority (the Authority). The bill allows the Authority to enter into a contract with the Corporation to transfer all of its assets, debts, and contractual rights and obligations. Upon executing the contract, all of the Corporation's property, including real estate, easements, conveyance systems, and transmission systems, will be transferred to the Authority. Additionally, the Corporation's Certificate of Convenience and Necessity No. 10354 will be considered held by the Authority, and the Public Utility Commission of Texas will reissue the certificate in the Authority's name without requiring further application or hearings. The Corporation's board of directors must notify both the Texas Commission on Environmental Quality and the Public Utility Commission of Texas about the transfer and must begin dissolution proceedings within 30 days of the transfer. The bill will take effect immediately if it receives a two-thirds vote in both legislative houses, otherwise it will take effect on September 1, 2025. Notably, no person or entity has the right to protest or challenge this transfer.
