This bill amends South Dakota Codified Law § 59-11-25 to change the deadline for filing annual reports for most entities, excluding banks and limited partnerships organized under specific chapters. Previously, reports were due by the first day of the second month of the year following formation and annually thereafter. Now, entities can choose one of two filing options: either in the month that represents the first anniversary of their formation and each year thereafter, or by January thirty-first of the calendar year after their formation and each January thirty-first thereafter. Entities must select their preferred filing date on their formation document, and those already in good standing can switch between these options by submitting a change-of-filing-date form to the Secretary of State. This change will take effect on January 1, 2027.
