This bill amends existing Idaho law concerning the formation of limited liability companies (LLCs) by allowing the organizer, the person forming the LLC, to use the street and mailing addresses of the company's commercial registered agent as the principal office address on the LLC's certificate of organization under specific conditions. A commercial registered agent is a professional service company designated to receive official legal and government documents on behalf of a business. Currently, the certificate of organization must list the company's principal office address. This change permits the use of the commercial registered agent's address if the LLC attests it has no physical location other than a residential address, and the commercial registered agent agrees to this arrangement. The bill also includes an emergency clause, making these changes effective on July 1, 2026.
