This bill authorizes the Annawon Council, Inc., a nonprofit charitable corporation, to merge into the Narragansett Council, Boy Scouts of America, which is a Rhode Island nonprofit charitable corporation, notwithstanding any existing laws to the contrary. For this merger to become official, the newly combined corporation must file specific documents with the state secretary, confirming that it can be sued in Massachusetts for any past debts or obligations of the Annawon Council, Inc., as well as any future debts incurred by the merged entity, as long as those liabilities remain active in the commonwealth. Furthermore, the merged corporation will be bound by any restrictions on how it uses or distributes assets held for charitable purposes by the Annawon Council, Inc., including any contractual or trust-related obligations, and will officially designate the state secretary as its agent to receive legal documents in any lawsuit related to these obligations, following the procedures outlined in chapter 180 of the General Laws.
