This bill repeals existing sections of Massachusetts law and enacts the Uniform Trade Secrets Act, which provides civil remedies for the misappropriation of trade secrets, including the ability to obtain injunctions, damages, and attorney's fees. It also establishes the Massachusetts Noncompetition Agreement Act, which sets forth requirements for the validity and enforceability of noncompetition agreements between employers and employees, including that they be no broader than necessary to protect legitimate business interests, have a restricted period of no more than 12 months (with limited exceptions), and be supported by a garden leave clause or other consideration. The bill applies to noncompetition agreements entered into on or after October 1, 2018 and the Uniform Trade Secrets Act provisions take effect on that date as well.
