This bill provides special provisions for business entities (corporations, limited liability companies, and limited liability partnerships) owned by military service members who are deployed, allowing them more flexibility in filing their annual reports with the North Carolina Secretary of State. Specifically, the bill creates exemptions for businesses where more than 50% of the ownership is held by deployed members of the Armed Forces (including Air Force, Army, Coast Guard, Marine Corps, Navy, and Space Force, as well as their reserve components). These businesses can file their annual reports within 90 days after their deployment ends, and they must first submit an electronic affidavit with details about the deployment and the business. If a deployment is extended, the business can file an additional affidavit extending their reporting deadline. The bill waives any associated filing fees and protects the confidentiality of the deployment information. The new provisions will become effective on October 1, 2025, and apply to different types of business entities, helping to reduce administrative burdens on service members who are deployed and unable to manage their business documentation during military service.
