Bill Summary

As enacted, establishes the county where a public benefit or mutual benefit corporation has the corporation's principal office or, if the corporation does not have a principal office located in this state, the corporation's registered office, as a venue for a proceeding by the attorney general and reporter to dissolve the corporation; establishes additional locations as venues for proceedings to dissolve a corporation by the attorney general and reporter or other authorized parties. - Amends TCA Title 48, Chapter 64.

AI Summary

This bill modifies Tennessee law regarding where lawsuits can be filed to dissolve nonprofit corporations, specifically concerning public benefit or mutual benefit corporations. Previously, such lawsuits filed by the Attorney General and Reporter (the state's chief legal officer) could only be filed in the county where the corporation's main office was located, or its registered office if it had no main office in Tennessee. This bill expands the options, allowing these lawsuits to be filed in any county where the corporation conducted any activity, including soliciting donations or doing business, or in any county where the Attorney General and Reporter has an office, or specifically in Davidson, Sumner, or Williamson Counties. For lawsuits filed by other authorized parties (not the Attorney General), the venue remains the county where the corporation's principal office is or was last located, or its registered office if it has no principal office in Tennessee.
